Advance Notice Policy

Midas Gold Corp. (the "Company") is committed to: (i) facilitating an orderly and efficient process for holding annual general meetings and, when the need arises, special meetings of its shareholders; (ii) ensuring that all shareholders receive adequate advance notice of the director nominations and sufficient information regarding all director nominees; and (iii) allowing shareholders to register an informed vote for directors of the Company after having been afforded reasonable time for appropriate deliberation.

Auditor Services Pre-Approval Policy

The Audit Committee of the Board of Directors (the "Board") of Midas Gold Corp. (collectively with its subsidiaries, the "Corporation") has adopted this Auditor Services Pre-Approval Policy (the "Policy") in order to provide to its personnel the policies and procedures followed by the Audit Committee in reviewing and pre-approving services to be provided to the Corporation by the Corporation's independent external auditor (the "External Auditor"), and to disclose those policies and procedures to the Corporation's shareholders.
